Terms of Service

Welcome to Stack District, your trusted gateway to a network of colocation service providers. Our platform is meticulously designed to bridge the gap between customers and service providers, facilitating connections based on intricate service requirements. 

These Terms of Use serve as the guiding principles that oversee the access and utilization of our services, website, and platform. By accessing or using our platform, you are entering into a binding agreement, signifying your acceptance of these terms and conditions. 

We encourage you to review these Terms of Use carefully to understand your rights and obligations while engaging with our platform. Welcome to a seamless experience with Stack District, where we provide you with the tools to find and contract with colocation service providers. 

1. Acceptance of Terms 

By registering, accessing, or using our services, you confirm that you accept these terms and agree to comply with them. If you do not agree to these terms, you must not use our services. 

2. Platform Services 

  • Service Description: Our platform facilitates connections between prospective customers (“Customers”) and data centre providers (“Providers”) by using customer requirements to match Customer needs with Provider offerings. 
  • User Accounts: Users must register and create an account to access certain features of the platform. You are responsible for maintaining the confidentiality of your account details and any activities conducted under your account. 
  • Provider Information: Providers must supply detailed service descriptions, pricing, and terms, which we may display to Customers based on their requirements. 

3. Use of the Platform 

  • Permitted Use: The platform is available only for your personal or commercial use in finding or offering colocation services. 
  • Prohibited Use: You may not use the platform to engage in illegal, fraudulent, or harmful activities or in a manner that may damage our reputation including the list of activities below. 
  • Data Scraping: Users are prohibited from using any automated means, including but not limited to scraping, crawling, or data-mining, to collect information, data, or content from our platform without our explicit written permission. This includes the use of bots, spiders, or other automated devices to access the platform to extract data, reverse engineer or recreate the platform’s offerings. 
  • Excessive Use: Users must not conduct an excessive number of searches on the platform in a manner that could be deemed abusive or unnecessarily burdensome to our systems. This includes using automated systems or software to extract data from our platform for commercial purposes (‘screen scraping’). 
  • Database Building: Users are expressly forbidden from using any data or information obtained from our platform, directly or indirectly, to build a competing database or service, or to facilitate a third-party in doing so. 

Consequences of Circumvention: 

  • In cases where it is discovered that a User has engaged in activities aimed at circumventing the platform’s processes, including but not limited to, initiating contact with another User through the platform and subsequently completing a transaction independently to avoid fees or commissions: 
  • Access Revocation: The offending User may be subject to immediate termination of their account and permanent denial of access to the platform. 
  • Legal Action and Damages: Stack District reserves the right to take legal action against any User who violates these terms. Such actions may include claims for lost revenue and any additional damages caused by the circumvention. 
  • Notification of Breach: We may also inform affected parties and other users about the breach to ensure awareness and compliance with these terms. 

Reporting Circumvention: 

  • We encourage Users to report any suspected circumventions. If you believe a User is attempting to circumvent our platform’s transaction process, please contact us immediately at info@stackdistrict.net. We take these reports seriously and will investigate and take appropriate action to maintain the integrity of our services. 

4. Intellectual Property 

  • Ownership: The platform and its original content, features, and functionality are owned by Stack District and are protected by international copyright and trademark laws. 
  • Provider Content: Providers grant Stack District a non-exclusive license to use, display, and distribute the content provided for the purpose of facilitating service offerings to Customers. 

5. Data Protection 

  • Compliance: Each party will comply with applicable data protection laws concerning the processing of personal data. 
  • Confidentiality: All personal and confidential information must be kept secure and disclosed only in accordance with these terms. 

6. Termination 

  • By Stack District: We may terminate or suspend access to our platform immediately, without prior notice or liability, for any breach of these Terms. 
  • By User: Users may terminate their account by notifying us via our designated contact method. 

7.  Services and APIs  

Our diverse services and APIs may have additional terms. These become part of your agreement with us when you use the services. We have a Fair Use Policy for our APIs to prevent abuse and ensure equitable access. Exceeding usage limits may result in throttled access or account suspension. We may change our service terms and will notify you in advance. Continued use after changes means you agree to the updated terms. 

8. Indemnification 

You agree to defend, indemnify, and hold harmless Stack District and its licensee and licensors, and their employees, contractors, agents, officers, and directors from any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the platform, including but not limited to, your violation of these Terms. 

9. Limitation of Liability 

In no event shall Stack District, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the platform. 

10. Governing Law 

These terms shall be governed and construed in accordance with the laws of the jurisdiction in which the user resides, without regard to its conflict of law provisions. This applies universally across all countries and jurisdictions. 

11. Changes 

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of such changes by revising the date at the top of these Terms.
